Michael Bavli

Mike Bavli has more than 15 years of tax experience and serves in the organization’s M&A Tax practice. He advises private equity sponsors and strategic buyers on domestic and cross-border transactions.

Mike leads tax structuring and planning for acquisitions, dispositions and reorganizations, developing structures designed to support basis step-ups, preserve valuable tax attributes and minimize U.S. and foreign tax leakage. He also directs buy-side and sell-side tax due diligence on transactions across a range of sizes and industries, helping clients evaluate risks and opportunities.

Throughout his career, Mike has authored numerous tax memoranda and opinions on matters including tax-free reorganizations, consolidated return issues involving deferred intercompany transactions, debt-equity characterization under common law and Section 385 and tax issues arising from pre-IPO restructurings.

Prior to joining PKF O’Connor Davies, he held M&A tax roles at “Big Four” accounting firms and a law firm ranked among the top 20 by The American Lawyer. Mike is also a recipient of the New York Legal Aid Society’s Pro Bono Award for outstanding client service.
